He would play a critical role in identifying (specifically distressed assets/NCLT
transactions), evaluating, and executing mergers, acquisitions, and other strategic
transactions. This role involves a combination of market analysis, deal sourcing and
filtering, financial modeling, and cross-functional collaboration with internal teams &
external advisors to ensure successful transaction outcomes.
Deal Origination :
- Identify Opportunities: Proactively research and identify potential M&A targets,
including competitor analysis, market research, and identification of strategic fit for the
company's growth objectives.
- Develop and Maintain Relationships: Build and maintain relationships with investment
banks, private equity firms, corporate development teams, and other deal sources to
generate new deal flow.
- Market Intelligence: Track industry trends, competitive dynamics, and market
conditions to identify - potential acquisition opportunities or partnerships.
- Strategic Analysis: Work with senior management to define and refine strategic
acquisition criteria and to understand company growth objectives in order to source
high-potential deals.
Deal Execution:
- Financial Analysis & Modeling: Lead or support the development of detailed financial
models (e.g., discounted cash flow, comparable company analysis, precedent
transactions) to assess the financial impact of potential deals.
- Due Diligence: Coordinate and oversee due diligence processes, including financial,
legal, operational, and commercial due diligence. Evaluate key risks and opportunities
associated with potential transactions.
- Valuation: Conduct valuation analysis to assess the financial viability and strategic fit
of potential targets, including sensitivity analysis and scenario modeling.
- Deal Structuring: Work with legal, tax, and other teams to help structure the terms and
conditions of transactions, ensuring alignment with corporate strategy and objectives.
- Transaction Documentation: Prepare and review key transaction documents, including
term sheets, letters of intent (LOIs), and definitive agreements.
